Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Tely Inc. (“Tely,” “we,” “us”), a Delaware corporation, and govern your use of Tely Health, including the website at https://tely.health, its landing pages, the free practice analysis, our AI chat assistant and our phone line (the “Services”). By using the Services you agree to these Terms. If you use them on behalf of a practice or company, you agree on its behalf and confirm you are authorized to do so.
1. Who the Services are for
Tely Health is a marketing and technology service for medical practices and other businesses. It is not a healthcare provider and does not provide medical advice, diagnosis or treatment. Nothing on the website, in the chat or on the phone line is medical advice. In an emergency, call 911. You must be at least 18 to use the Services.
2. The free practice analysis
When you request a practice analysis, we prepare it from public information about your practice and your market, and we may contact you to walk you through it. The analysis is free, informational and comes with no obligation. Estimates in it are projections, not promises of results.
3. Paid services
If your practice becomes a client, the scope, fees, term and cancellation of the paid Services are set out in a separate order form or services agreement, which controls if it conflicts with these Terms. Advertising budgets are paid by the client directly to the advertising platforms and are separate from Tely’s fees. Where the Services involve protected health information, we act under a Business Associate Agreement with the practice.
4. AI assistants and communications
- Our chat and phone assistants are AI systems. They can make mistakes, and their answers do not create commitments beyond what is in a signed agreement.
- Calls to our phone line may be recorded and transcribed. By calling, you consent to this.
- By giving us your email address or phone number, you agree that we may contact you about your request by email, phone or text message. Message and data rates may apply. You can opt out of texts by replying STOP and out of emails with the unsubscribe link.
5. Acceptable use
You agree not to:
- submit false information or information about another person without their permission;
- send patients’ medical information through the website, chat or phone line;
- scrape, copy or harvest content or data from the Services by automated means, or use them to build a competing product;
- try to break, overload or get around the security of the Services, or to manipulate our AI assistants into producing harmful or misleading output;
- use the Services for anything unlawful, fraudulent or harmful.
6. Intellectual property
The Services, including their software, design, text, graphics and the Tely and Tely Health names and logos, belong to Tely or its licensors and are protected by law. We grant you a limited, revocable, non-transferable right to use the website for its intended purpose. Deliverables created for clients are owned as set out in the client’s agreement.
7. Your information and feedback
Our Privacy Policy explains how we handle personal information. You keep ownership of the information you give us and grant us the right to use it to provide the Services. If you send us feedback or suggestions, we may use them without obligation to you.
8. Third-party services
The Services link to or rely on third-party services such as calendars, advertising platforms and analytics tools. Their own terms apply, and we are not responsible for them.
9. Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any particular ranking, traffic, number of patients or revenue.
10. Limitation of liability
To the fullest extent permitted by law, Tely will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising out of these Terms or the free Services will not exceed one hundred US dollars (US $100). Liability for paid Services is governed by the client’s agreement.
11. Indemnity
You agree to defend and indemnify Tely and its officers, employees and agents against claims arising from your misuse of the Services or your breach of these Terms.
12. Suspension and termination
We may suspend or end access to the Services at any time if we reasonably believe you have breached these Terms or to protect the Services or other users.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Before filing any claim, both sides agree to try to resolve the dispute informally for at least 30 days by contacting the other in writing. California residents may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.
14. Changes
We may update these Terms. We will post the new version on this page and change the date above. Continuing to use the Services after an update means you accept it.
15. General
These Terms, together with any client agreement and our Privacy Policy, are the entire agreement between you and Tely about the Services. If any part is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
